1. Acceptance of Terms

By accessing thescalepixel.com or engaging Scale Pixel (“we,” “us,” “our”) for services, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use the Site or engage our services.

2. Description of Services

Scale Pixel provides performance marketing services including Google Ads, Meta Ads, TikTok Ads, social media marketing, Shopify store development, and SEO. The exact scope, deliverables, timeline, and pricing for any engagement are set out in a separate proposal, quote, or agreement between Scale Pixel and the client, which takes precedence over these general Terms in the event of a conflict.

3. Client Responsibilities

Clients agree to provide timely access to necessary accounts, assets, approvals, and information required to deliver services, and are responsible for the accuracy of information they provide and for compliance with the terms of service of any third-party platform (Google, Meta, TikTok, Shopify, etc.) used in connection with our services.

4. Payment Terms

Fees, billing frequency, and payment terms are agreed separately per engagement. Unless otherwise stated in a signed proposal, invoices are due upon receipt, and continued or late non-payment may result in suspension of services. Advertising spend paid directly to platforms (Google, Meta, TikTok) is separate from and in addition to our management fees.

5. No Guaranteed Results

Marketing and advertising performance is influenced by many factors outside our control, including platform algorithm changes, market conditions, and competitor activity. While we work to deliver strong results based on data and experience, we do not guarantee specific rankings, traffic, sales, ROAS, or other outcomes.

6. Intellectual Property

Unless otherwise agreed in writing, final creative assets and campaigns produced for a client become the client’s property upon full payment. Scale Pixel retains the right to showcase completed work (including performance results) in its portfolio and case studies unless the client requests confidentiality in writing.

7. Confidentiality

Both parties agree to keep confidential any non-public business, financial, or account information shared during the course of the engagement, and to use it only for the purpose of delivering or receiving the agreed services.

8. Limitation of Liability

To the fullest extent permitted by law, Scale Pixel’s total liability arising from any engagement is limited to the fees paid by the client for the specific service giving rise to the claim in the preceding three months, and we are not liable for indirect, incidental, or consequential damages, including lost profits or lost advertising spend.

9. Termination

Either party may terminate an ongoing engagement in accordance with the notice period set out in the applicable proposal or agreement. Fees for work completed and costs already committed (including active ad spend) up to the termination date remain payable.

10. Third-Party Platforms

Our services rely on third-party platforms (including Google, Meta, TikTok, and Shopify) that operate under their own terms and policies, which are outside our control. Scale Pixel is not responsible for outages, policy changes, account suspensions, or other actions taken by these platforms.

11. Governing Law

Unless otherwise specified in a signed client agreement, these Terms are governed by the laws of the jurisdiction in which Scale Pixel is registered to operate, without regard to conflict-of-law principles.

12. Changes to These Terms

We may revise these Terms from time to time. The updated version will be posted on this page with a revised “Last updated” date, and continued use of our Site or services after changes take effect constitutes acceptance of the revised Terms.
